Governance

The Board of Directors is the supreme governance body of the Group. The Chairman of the Board is also the Chief Executive Officer.

The Board of Directors is integrated by 9 members, including Héctor Hernández-Pons Torres, CEO of Grupo Herdez, who acts as Chairman and CEO.

REGULAR MEMBERS

He holds a Bachelor’s degree of Law from Universidad Anáhuac and has postgraduate studies in Administration from National University of San Diego, California. He joined the Company’s Legal department in 1978, and has worked in several administrative areas, including corporate management. In 2004, he was appointed Chairman of the Board of Directors and Grupo Herdez Chief Executive Officer. In addition to his responsibilities within the Group, he has held several positions at CONCAMIN (Confedereación de Cámaras Industriales), BASC (Business Alliance for Secure Commerce), and CANAINCA (Cámara Nacional de la Industria de Conservas Alimenticias).

He holds a Bachelor’s degree in Business Administration and has postgraduate studies abroad in Marketing and Business Administration. He joined Grupo Herdez in 1971 and has held several positions in different departments. Currently, he is Deputy Chief Executive Officer and Chairman of the Board of MegaMex in the United States.

Graduate in Psychology from Universidad Anáhuac, with postgraduate studies in Economics, Finance and Contemporary History. She is currently a member of the Board of Directors of Grupo Herdez, a position she has held since 2004. She has also been a member of the Board of Directors of Centro Mexicano para la Filantropía, Fundación para la Salud, Fraccionamiento Las Brisas in Acapulco, Mexicano de la Gastronomía, Club de Raqueta Bosques and is currently an advisor of Fundación Herdez.

INDEPENDENT MEMBERS

She holds a Bachelor’s degree in Marketing from Tecnológico de Monterrey, and a Master’s degree in Communication, Advertising and New Media from Institut National Supérieur Des Hautes Etudes Economiques et Commercial (INSEEC) in France.  She also has studies at HEC Paris and University of Wharton, Philadelphia.  She is a professor of the Master’s in E-Business at Instituto Superior para el Desarrollo de Internet (ISDI). Currently, she is Chief Executive Officer at Waze Mexico. Before joining Waze, she served a little over five years as Business Director Mexico & Central America at Facebook. Previously, she worked as a Brand Solutions Manager at Google and Commercial Leader at YouTube Mexico.

Holds a Bachelor’s degree in Business Administration. He began his professional career at Banco Nacional de México. He was Vice-Chairman and President of the Mexican Bank Association (Asociación de Bancos de México). Currently, he is the Chairman of the Board of Directors of Maxcom Telecomunicaciones, Non-Executive Chairman of the Board of Directors of Banco Nacional de México, and he is a member of the Boards of Directors of Grupo Alfa, Southern Copper Corporation, and Médica Sur.

His professional career includes various Marketing positions at companies like Grupo Herdez, Richardson-Vicks, Procter and Gamble, and SC Johnson and Son. He was Corporate Vice-president at SC Johnson and Son and Chief Executive Officer for Mexico and Central America.

He was Director at the Boards of CONAR (Consejo de Autorregulación y Ética Publicitaria) and CEMEFI (Centro Mexicano para la Filantropía), and member of the Advisory Board of a Great Place to Work-Mexico. Currently, he is Chief Executive Officer at Aerobal and Gridimex, Director of ENACTUS and of the Un Mañana para la Comunidad foundation, and member of the Advisory Board of Fundación Xochitla.

Certified Public Accountant from Universidad Iberoamericana. He has postgraduate studies in Administration at Instituto Tecnológico Autónomo de México (ITAM), Senior Management at Instituto Panamericano de Alta Dirección de Empresa (IPADE), and Corporate Governance at Yale University, Stanford University, and University of Harvard.

He was Chief Finance Officer at Grupo Vitro, Grupo Desc, and Industrias Peñoles.  He serves as Director and chair or member of several Committees at public and private companies and financial institutions.  He is a member of the Mexican Association of Certified Public Accountants, of the Mexican Institute of Certified Public Accounts, Chairman of the Corporate Governance Best Practices Committee of the Business Coordination Board, member of the Latin American Corporate Governance Institute (OECDWorld Bank), of the National Association of Corporate Directors (USA), and of the International Corporate Governance Network in the United Kingdom.

Chemical Engineer from Universidad Autónoma de México (UNAM), with experience as Chief Executive Officer, Director, and Chairman of the Board at manufacturing and telecommunication companies. He participated in the restructuring of Satélites Mexicanos as Chairman of the Board. Currently, he is a Director on the Boards of Grupo Gigante, Grupo Sánchez, and Grupo Industrial Mexicano.

Michael Jost has extensive experience in finance. He was Chief Financial Officer for 25 years at several companies like Nestlé Venezuela, Nestlé México, Nestlé Brazil, Dairy Partners Americas, and Nestlé Purina Petcare Latin American & Caribbean. Currently, he is a member of the Board of Directors of several companies that focus on the development of small and medium-sized enterprises.

Compensation

Compensation of a net amount of three gold coins of MXN$50.00 each, or its equivalent in Mexican pesos after deducting income tax, will be proposed for all members of the board of directors, non-members secretary and pro-secretary of the board of directors, for attending each meeting of the board of directors.

2020

  • 2020: We launched the first edition of Semillero Nutrisa. Together with Nutrisa and the Victoria147 business academy for women, we invited women entrepreneurs to participate in a training program to improve the management of their businesses and have the potential to become part of our supply chain.

We established our first technological alliance with Google, which will allow us to accelerate the digital transformation of Grupo Herdez through the use of Google Cloud Platform tools such as BigQuery ML, Looker, among others.

Through the Herdez® brand and Aires de Campo® we joined the “Sowing a New Normality” initiative, promoted by the civil society organizations Ríos Tarango and Ectágono, which aims to increase the vegetation cover of the environmentally valuable area Barranca de Tarango.

  • 2021: We developed the Group’s second proprietary e-commerce platform, with the Nutrisa® online store.

We updated the apps through which we manage the loyalty programs of our retail brands, Cielito Querido Café® and Nutrisa®, improving our customers’ in-store experience.

During the year, 15 formulas had their nutritional profile strengthened by reducing some critical added nutrients (sugars, sodium and saturated fats).

  • 2022: We expanded our capabilities into new categories through the acquisition of Interdeli and Deli, Dips & Snacks. Integrating brands such as Libanius, Flaveur, Liguria and Señor Cactus into our portfolio.

We Issued the first sustainability bond through which we
committed to a 25% reduction in our water consumption.

Together with our partner McCormick & Company, Inc. we
brought the most iconic Mexican cuisine to the tables of the United Kingdom
through meal kits, sauces and condiments under the Herdez® brand.
  In less than a year, we obtained a 5.5% shelf
share in the Tesco supermarket chain.

We consolidated the integration of Chilim Balam® into retail brands, a leading brand in the snack segment
